Chapter XXI PART-2 (Section 375378) of the Companies Act, 2013 (CA 2013) deals with the provisions related to winding up of unregistered companies. Section 376 of CA 2013 provides for power to wind up foreign companies, although dissolved.

Section 376 of Companies Act 2013: Power to wind up foreign companies, although dissolved

Section 376 shall come into force on 15th December, 2016 vide Notification No. S.O. 3677(E) dated 07.12.2016.

Where a body corporate incorporated outside India which has been carrying on business in India, ceases to carry on business in India, it may be wound up as an unregistered company under this Part, notwithstanding that the body corporate has been dissolved or otherwise ceased to exist as such under or by virtue of the laws of the country under which it was incorporated.
